Truth Social’s merger partner reaches $18m settlement with SEC
Truth Social’s merger partner reaches $18m settlement with SEC
A financial firm linked to Donald Trump’s Truth Social platform has reached an $18m settlement with the Securities and Exchange Commission (SEC) in order to bring an end to the investigation into its merger with the company. Digital World Acquisition Corp (DWAC) announced the tentative settlement on Monday, saying that the payment would “remove the cloud of uncertainty lingering over DWAC and would allow DWAC to move forward in achieving its objective of delivering a strategic merger”. The SEC had been looking into whether DWAC held talks with Truth Social’s parent company before going public, which would be a violation of certain antifraud provisions of the Securities Act and the Exchange Act. The settlement means once DWAC has paid the civil penalty it can move forward with the merger, which would see Truth Social become a public company. News of the settlement comes after three people involved in the merger were indicted for insider trading last week. Michael Shvartsman, Gerald Shvartsman and Bruce Garelick were named in a federal indictment unsealed last Thursday (29 June) in Manhattan federal court. All three were charged with trading in securities of Digital World Acquisition Corporation (DWAC) based on non-public information about the company’s planned business combination with Trump Media & Technology Group — founded by former president Mr Trump — the parent company of social media platform Truth Social. They were arrested on Thursday morning in Florida. In 2021, the three investors were invited to invest in DWAC and another SPAC. After signing non-disclosure agreements, they were provided with confidential information, including the planned deal with Trump Media. They were prohibited from using this knowledge in the open market. According to the indictment, after making initial investments into DWAC through the initial public offering process, Mr Garelick was given a seat on the board of directors, which gave him access to valuable non-public information about the planned merger. He provided these updates to his co-conspirators, calling it “intelligence”. The defendants bought millions of dollars of DWAC securities on the open market before the news of the Trump Media business combination was public. In addition to their own purchases, they also passed the information to their friends on a trip to Las Vegas, to Michael Shvartsman’s neighbours, and to Gerald Shvartsman’s employees at a furniture supply store. After DWAC’s merger with Trump Media was announced publicly on 20 October 2021, the stock and warrant holdings significantly increased in value. The defendants and the individuals they tipped then sold their DWAC securities for a significant profit. Michael Shvartsman and Bruce Garelick have been charged with five counts of securities fraud under Title 15, each of which carries a maximum sentence of 20 years in prison; Gerald Shvartsman has been charged with three counts. All three defendants have also been charged with one count of securities fraud under Title 18, which carries a maximum sentence of 25 years in prison; and one count of conspiracy, which carries a maximum sentence of five years in prison. Woman left stunned after Hinge date pens warning under her toilet seat
One woman was left shocked after discovering the Hinge date she asked to leave her house left a hidden message under her toilet seat in lipstick for other guys to read in the future. Dating apps can be a complete minefield and it can be difficult to gauge what a date will actually be like in person before meeting them. TikToker Luna Ray soon discovered her date had “bad vibes” but was left completely shocked by what happened next. In a viral video, she shared that she asked the guy to leave her house within 15 minutes of meeting him and later discovered that he had left a message on the underside of the toilet lid. Text overlaying the clip read: “Kicked out a Hinge date within 15 minutes of meeting him because bad vibes and he asked to use the bathroom before leaving and used my lipstick to write all over the seat.” @lunarayy_ he also wrote “she is effing her ex” because i tried to spare his feelings by telling him i wasn’t over my ex boyfriend :) In the video, Luna Ray could be seen cleaning off the underside of the toilet with a wipe, where the word “run” in red lipstick could still be seen. Luna Ray added in the caption: “He also wrote ‘she is effing her ex’ because I tried to spare his feelings by telling him I wasn’t over my ex-boyfriend.” The clip has been viewed over 8 million times and viewers have been left divided in the comments. Conor McGregor’s team suffer more misfortune on The Ultimate Fighter
Conor McGregor’s team suffered another tough week on the new season of The Ultimate Fighter, as one of the Irishman’s mentees was declared unfit to compete and another was stopped in Round 1. McGregor and Michael Chandler, who are due to fight each other later this year, are coaching opposing teams of athletes on the new season of the UFC television show. In Episode 1, McGregor’s team member Nate Jennerman was knocked out inside eight seconds, and there was more misfortune for the Irishman’s group in Episode 2. In the episode, which aired on Tuesday (6 June), Trevor Wells developed a cold sore and was deemed medically unfit to face Timur Valiev, before Mando Gutierrez was beaten by Cody Gibson in Round 1. Gutierrez was dropped with a clean knee to the chin, before Gibson applied ground and pound to secure a TKO win. McGregor, wearing a cowboy hat given to him by Gutierrez, was visibly frustrated at ringside. “Ah, unlucky, Mando,” the former dual-weight UFC champion said. In a post-fight exchange in the team’s locker room, McGregor, 34, told Gutierrez: “Right here with you, Mando. Here with you, my man. Back to the gym now.” Gutierrez replied, “I just wanted to give my heart,” to which McGregor said: “That’s what you did, man! That’s what you f***ing did, my man!” Gutierrez responded, “Coach, I’m way better than that,” to which McGregor replied, “I know that.” “It was a tough fight, that was,” McGregor later said in an interview. “The flying knee was a good shot. Mando’s a great little fighter. I would’ve liked him to stand his ground more; he was on the float a little bit too much for my liking. We were working on cutting the Octagon in [training].” A tearful Gutierrez, sporting a severely swollen eye, added: “You know, I fought my heart out, and it wasn’t enough. I love this game, sometimes it just don’t love me back. I’ll be back, it is what it is.” All you need to know about season 31 of The Ultimate Fighter can be found at the highlighted link here, and you can read our review of the new documentary McGregor Forever here.
